Article IDefinitions

In these Terms the following words have the following meanings.

• "Hypesium", "we", "us", "our" means [Operator legal name], the operator of the Services, and its successors and assigns.
• "Services" means the Hypesium Telegram bot, the website at hypesium.com and its subpages, our official channels on Telegram and X, and any related software, content and documentation we make available.
• "Bot" means the Telegram bot through which the Services execute trades on your instruction.
• "User", "you", "your" means any person who accesses or uses the Services.
• "Wallet" means a blockchain account generated by or imported into the Bot whose private key is encrypted and held by the Services so that trades can be signed on your instruction.
• "Network" means the Elysium blockchain and any other blockchain the Services support from time to time.
• "Digital Asset" means any cryptographic token, coin or other asset recorded on a Network, including HYPE.
• "Transaction" means any buy, sell, transfer, approval or other operation that the Bot signs and broadcasts to a Network on your instruction, including instructions you give in advance such as snipes, automatic exits and copied trades.
• "Fee" means the platform fee described in Article IV.
• "Referral Program" means the scheme described in Article IV under which Users earn a share of Fees paid by Users they introduced.
• "Terms" means these terms of service as amended from time to time.

Article IIGeneral provisions

Acceptance

By sending any message to the Bot, visiting the website or otherwise using the Services you confirm that you have read, understood and agree to these Terms. If you do not agree, do not use the Services.

Eligibility

You must be at least 18 years old, or the age of majority where you live if that is higher, and have full legal capacity to enter into a binding agreement. You may use the Services only for yourself and not on behalf of any other person or entity unless you have authority to bind them to these Terms.

Restricted persons and places

The Services are not offered to, and may not be used by, any person who is located in, resident in or a citizen of a jurisdiction where the Services or trading in Digital Assets is prohibited or restricted, including the United States of America, Canada, the United Kingdom, and any country or region subject to comprehensive sanctions by the United Nations, the European Union, the United Kingdom or the United States. The Services may not be used by any person who appears on a sanctions or restricted-party list maintained by any of those bodies, or who is acting on behalf of such a person. You are responsible for confirming that your use is lawful where you are, and we may block or close your access if we believe it is not.

Beta software

The Services are provided in an early, evolving form. Features may be added, changed or removed at any time, including the Networks, venues and token standards supported. We do not guarantee that any Transaction will be executed, executed at any particular price, included in any particular block, or executed before any other party's transaction.

Your account

Your access to the Services is tied to your Telegram account. Anyone who controls your Telegram account can instruct the Bot and move funds from your Wallets. You are solely responsible for securing your Telegram account, including with a passcode and two-step verification, and for every Transaction instructed from it, whether or not you authorised it. We will never contact you first and will never ask for a private key or a seed phrase.

Changes to these Terms

We may amend these Terms at any time by publishing a new version at hypesium.com/terms. The date at the top shows when the Terms were last changed. Your continued use of the Services after a change means you accept the amended Terms.

Article IIIThe Services

What the Services do

The Services provide a software interface that lets you create and manage Wallets, inspect Digital Assets and liquidity pools on a Network, and instruct Transactions, including purchases that execute on a future trigger such as the opening of trading, the creation of a pool by a chosen deployer, or the appearance of a token matching a chosen name or ticker on a chosen launch platform. The Services also let you set automatic exits and copy the trades of wallets you choose.

Non-custodial, with key access

The Services do not hold a pooled balance and do not operate a deposit contract. Every Transaction is paid from, and settles to, a Wallet. To sign Transactions quickly on your instruction the Services hold the encrypted private key of each Wallet. You acknowledge that this means the Services have technical access to your Wallets and that you accept this risk. You may export any private key at any time and move your funds elsewhere.

Your keys

You are solely responsible for exporting and safely storing the private key of every Wallet. If you lose access to your Telegram account and have not exported your keys, we may be unable to restore your access and the funds in those Wallets may be permanently lost. We do not and cannot recover private keys.

Transactions are final

Transactions on a Network are irreversible. Once the Bot has broadcast a Transaction on your instruction we cannot cancel, reverse or refund it. You are responsible for every instruction you give, including instructions set in advance that execute while you are not watching.

Protection features

The Services include simulation, tax and liquidity checks and selectable protection profiles. These reduce, but do not remove, the risk of loss. A token that passes every check may still fall in value, lose its liquidity or behave differently after purchase. Selecting a looser profile, or turning protection off, is your decision and your risk.

Third-party networks and venues

The Services interact with Networks, decentralised exchanges, routers and launch platforms that we do not control. We are not responsible for their availability, correctness, security or any change to them, nor for any Digital Asset you trade through them.

Article IVFees

Platform fee

We charge a Fee of 1% of the HYPE value of each successful buy and sell Transaction executed through the Bot. Users who joined through a referral link pay 0.9%. The Fee is collected from the Wallet that made the trade as a separate Transaction immediately after the trade confirms. Where a Fee is below the minimum collection amount it is carried over and collected with your next trade. We may change the Fee, the discount and the minimum at any time by updating the Bot and these Terms.

Network fees

Every Transaction, including the collection of a Fee, requires gas paid in HYPE to the Network. Gas is set by the Network and by the tip you choose, is paid from your Wallet, and is not refunded if a Transaction fails or reverts.

Referral Program

Users may share a referral link or a custom referral code. When a User who joined through your link pays a Fee, you are credited a share of that Fee: between 30% and 45% for Users you introduced directly, depending on the rank that your network's trading volume over the preceding 30 days earns you, and at least 40% during the launch period ending 9 December 2026; 6% for Users they introduced; and 3%, 2% and 1% for the third, fourth and fifth level. No credit is paid beyond the fifth level, referral credits never exceed 60% of a Fee, and we retain at least 25% of every Fee. A User whose own trading over the preceding 30 days reaches the thresholds shown in the Bot is credited back 5%, 10% or 15% of their own Fees. Where a weekly prize pool is announced in the Bot, the referrers with the highest credits in that week who have at least two referred Users that traded share it as shown in the Bot. Credits are denominated in HYPE, are sent to your default Wallet once a day when they reach the minimum shown in the Bot, and can be claimed to a Wallet of your choice at any time. A referrer is set once, at a User's first start, and cannot be changed. Self-referrals, circular referrals and referrals obtained through deception, spam or automated accounts are void. We may withhold, reverse or cancel referral credits, cashback or prizes that we reasonably believe were obtained in breach of these Terms, and we may change the rates, ranks, thresholds and prizes, or end the Referral Program, at any time.

Taxes

You are responsible for determining and paying any tax that applies to your trading, your referral earnings or your use of the Services.

Article VUse guidelines

Licence

We grant you a limited, personal, revocable, non-exclusive and non-transferable licence to use the Services in accordance with these Terms. All rights not expressly granted are reserved. The Services, including their software, design, name and logo, are our property or that of our licensors.

Prohibited conduct

You agree not to:

• use the Services for any unlawful purpose, including money laundering, terrorist financing, fraud or market manipulation;
• use the Services from, or on behalf of a person in, a restricted jurisdiction, or to circumvent any sanction;
• copy, modify, reverse engineer, resell or offer the Services commercially, or build a competing product on them;
• interfere with the Services, probe or overload them, or attempt to gain access to any account, Wallet or system that is not yours;
• abuse the Referral Program, including through self-referrals, bots, misleading promotion or impersonating us;
• use the Services in any way that damages our reputation or infringes the rights of others.

Indemnity

You agree to indemnify and hold harmless Hypesium, its officers, contractors and affiliates from any claim, loss, liability, cost and expense, including reasonable legal fees, arising from your use of the Services, your breach of these Terms or your violation of any law or the rights of a third party.

Article VILiability

Risk

Trading Digital Assets, and newly launched tokens in particular, carries a high risk of loss. Prices move violently, liquidity can vanish, and tokens can be designed to defraud buyers. You may lose everything you trade with. You use the Services at your own risk and confirm that you understand these risks and can bear them.

No warranty

The Services are provided "as is" and "as available" without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, uninterrupted operation or speed. We do not warrant that any Transaction will succeed, land in any particular block, or beat any other party.

Limitation

To the fullest extent permitted by law, Hypesium shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profit, revenue, data or Digital Assets, arising out of or in connection with the Services, whether in contract, tort or otherwise, even if we were advised of the possibility of such damages. Our total liability to you for all claims shall not exceed the Fees you paid to us in the three months before the event giving rise to the claim.

Exclusions

Without limiting the above, we are not liable for losses caused by the behaviour of any token or its deployer; the failure, congestion or reorganisation of a Network; the failure of a third-party venue, RPC provider or Telegram; your loss of access to your Telegram account or your private keys; or any instruction given from your account.

Article VIIAnnouncements

Our only official channels are the Bot, hypesium.com, the Telegram channel @Hypesium and the X account @Hypesium. Announcements made anywhere else are not ours. We may send you service messages through the Bot, including trade confirmations, referral credits and notices about these Terms. Nothing we publish is a recommendation to buy or sell any Digital Asset.

Article VIIITermination

You may stop using the Services at any time. Export your keys first. We may suspend or terminate your access to the Services, in whole or in part, at any time and without notice if we believe you have breached these Terms, if required by law, or if we discontinue the Services. On termination your licence ends, but the Wallets remain yours and you may export their keys for a reasonable period, after which we may delete them. Fees already collected are not refunded. Referral credits obtained in breach of these Terms are forfeited. Articles V, VI, XII and XIII survive termination.

Article IXNo financial advice

Nothing in the Services is investment, financial, legal or tax advice. The information the Bot shows about a token, including price, liquidity, tax and the result of a simulated sell, is read from the Network at that moment and may be incomplete, outdated or manipulated. Any decision to trade is yours alone. Consult a qualified adviser before trading if you are unsure.

Article XCompliance with local laws

You are responsible for knowing and complying with every law that applies to you, including laws on the trading of Digital Assets, taxation, sanctions and anti-money-laundering. If the law where you are prohibits or restricts the Services, you may not use them. We may require information from you to meet our own legal obligations and may refuse or stop service if you do not provide it.

Article XIPrivacy

We collect the minimum needed to run the Services: your Telegram user id and display name, the addresses of your Wallets and their encrypted keys, your settings, your Transactions, your referral relationships and credits, and operational logs. We use this to operate the Bot, collect Fees, run the Referral Program, prevent abuse and meet legal obligations. We do not sell your data. We do not share it with third parties except our infrastructure providers, who process it on our behalf, and where the law requires. Transactions are public on the Network by their nature. We keep data for as long as your account is active and as long as the law requires afterwards. To ask what we hold about you, or to have your account closed and its data deleted after you have exported your keys, contact us on our official channels. Where applicable law gives you further rights over your data, you may exercise them the same way.

Article XIIDisputes

Talk to us first

If you have a dispute with us, contact us through our official channels and we will try to resolve it informally within 30 days.

Arbitration

Any dispute that is not resolved informally shall be finally settled by binding arbitration before a single arbitrator seated in [Jurisdiction], conducted in English under the rules of [Arbitral institution]. Judgment on the award may be entered in any court with jurisdiction. Either party may seek interim relief from a court to protect its rights pending arbitration.

Class action waiver

To the fullest extent permitted by law, you agree that disputes will be resolved on an individual basis and you waive any right to bring or participate in a class, collective or representative action.

Governing law

These Terms are governed by the laws of [Jurisdiction], without regard to conflict-of-law principles.

Article XIIIMiscellaneous

• Entire agreement. These Terms are the whole agreement between you and us about the Services and replace any earlier terms.
• Severability. If any part of these Terms is found unenforceable, the rest remains in force.
• No waiver. Our failure to enforce a right is not a waiver of it.
• Assignment. You may not assign your rights under these Terms. We may assign ours to a successor of the Services.
• Force majeure. We are not liable for any failure caused by events beyond our reasonable control, including Network outages, attacks, changes in law or the acts of third parties.
• No affiliation. Hypesium is an independent product and is not affiliated with, endorsed by or connected to Kinetiq, Hyperliquid, Elysium, Telegram or any launch platform or exchange named in the Services.
• Language. These Terms are written in English. Any translation is for convenience only.
